Effective Date: May 20, 2026
Last Updated: September 27, 2026
Amendments dated September 22, 2026 take effect September 22, 2026 upon acceptance.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE RFPEASY SERVICE. BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.
These Terms of Service (the "Terms" or "Agreement") constitute a legally binding agreement between you (the "User," "Customer," or "you") and Gov Access Solutions, LLC, a Colorado limited liability company doing business as RFPeasy ("RFPeasy," "Company," "we," "us," or "our"), governing your access to and use of the RFPeasy software-as-a-service platform available at https://www.rfpeasy.app and any related services, software, content, and applications (collectively, the "Service").
Section 26 (Mandatory Arbitration) and Section 27 (Class Action Waiver) require you to resolve disputes with us through binding individual arbitration and waive your right to participate in class actions. Section 21 (Limitation of Liability) caps our liability to you. Read these sections carefully.

2. Acceptance and Eligibility
2.1 Binding Agreement
By creating an Account, clicking "I agree" (or similar), or by accessing or using any portion of the Service, you affirm that you have read, understood, and agree to these Terms and our Privacy Policy (which is incorporated herein by reference).
2.2 Age and Capacity
You represent and warrant that you are at least eighteen (18) years of age, have full legal capacity to enter into a binding contract, and are not barred from using the Service under the laws of the United States or the jurisdiction where you reside or do business.
2.3 Business Use Only
The Service is intended for use by businesses, sole proprietors, government contractors, consultants, and similar commercial users in connection with U.S. Federal Government contracting activities. It is not intended for personal, family, or household use, and it is not directed to children under 13 or to any minor.
2.4 Authority to Bind Entity
If you accept these Terms on behalf of a company, partnership, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" and "Customer" include that entity.
2.5 Export Compliance and Sanctions
You represent and warrant that (a) you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions; (b) you are not identified on the U.S. Treasury Department's List of Specially Designated Nationals, the U.S. Department of Commerce's Denied Persons List, or any similar export-restriction or sanctions list; and (c) you will comply with all applicable U.S. export-control and sanctions laws, including the Export Administration Regulations and the International Traffic in Arms Regulations ("ITAR").
3. Account Registration and Security
3.1 Accurate Information
You agree to provide true, current, and complete information during registration and to update such information as needed to keep it accurate.
3.2 Account Credentials
You are responsible for maintaining the confidentiality of your Account credentials, including your password. You agree (a) not to share your password (Authorized User invitations within an Organization may use single-use magic-link tokens which you must not forward to unauthorized recipients), (b) to notify us promptly at the contact address in Section 36 of any unauthorized use of your Account, and (c) to log out at the end of each session on shared devices.
3.3 Liability for Account Activity
You are responsible for all activity that occurs under your Account, whether or not authorized by you, unless and until you notify us of unauthorized access. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
3.4 One Account Per User
Each individual may hold only one personal Account at a time. In the current version of the Service, each User may belong to only one Organization at a time. Creating multiple Accounts to evade quotas, suspensions, or pricing tiers is prohibited and grounds for termination.
4. Organizations and Team Accounts
4.1 Owner Responsibility
The Owner of an Organization is solely responsible for (a) all billing and payment obligations of the Organization, (b) the actions and omissions of all Authorized Users within the Organization, (c) compliance with these Terms by all Authorized Users, and (d) managing Authorized User access, including invitations, role assignments, and removals.
4.2 Authorized User Conduct
The Owner agrees that all Authorized Users will be bound by these Terms, and the Owner will ensure each Authorized User has read and agreed to these Terms before accessing the Service. Any breach of these Terms by an Authorized User is deemed a breach by the Owner.
4.3 Seat Limits
Each Subscription tier has a maximum number of permitted Authorized Users ("Seats"). Exceeding the Seat limit may result in invitation blocking, suspension, or required upgrade. The Team plan permits up to five (5) Seats; Custom plans are governed by their applicable order form.
4.4 Transfer of Ownership
An Owner may transfer Organization ownership to another Authorized User by following the in-product workflow. Transfers are subject to acceptance by the recipient and do not relieve the prior Owner of obligations that accrued before transfer.
4.5 Data Visibility Within an Organization
Customer Content within an Organization or workspace, including sessions, pipeline records and the items attached to them, capability statements, contracts, saved opportunities, saved topics, and client intake links, is visible to all Authorized Users of that Organization or workspace. The only exception is a file a User keeps in the Personal section of Documents, which is visible only to that User. Attaching a Personal file to a shared record, or moving it to the Workspace section, makes it visible to all Authorized Users of that workspace. The access of client representatives is further limited as described in Section 4.7. You are responsible for choosing the workspace in which you create or store Customer Content and for keeping any file you do not want shared in the Personal section of Documents. Misconfiguration of workspace or member controls is not the responsibility of RFPeasy.
4.6 Consultancy and Client Workspaces
If you use the Service under a Consultancy plan, or otherwise to manage separate client workspaces, the following additional terms apply. You represent and warrant that you have obtained all authority and consents necessary from each client to create a workspace for that client and to access, process, store, and generate that client's information through the Service. The relationship between you and your clients is solely between you and them; RFPeasy is not a party to it and owes no fiduciary, advisory, or professional duty to you or to any client. You are solely responsible for your representations to, and agreements with, your clients regarding your use of the Service on their behalf.
4.7 Client-Representative Logins and Workspace Scope
Client representatives and other client-side users you invite are Authorized Users under these Terms, and their access is limited to the specific workspace(s) you assign them through the Service's workspace and member controls, and within a workspace to the client profile(s) you assign them. Because Customer Content in a workspace is visible to all of its Authorized Users as described in Section 4.5, choosing the correct workspace for any action, and for any Customer Content you create, export, or transmit, and keeping any file that should not be shared in the Personal section of Documents, is your responsibility. Misconfiguration of workspace or member controls is not the responsibility of RFPeasy.
4.8 Client Workspace Control and Release of Content
A client workspace is provided under the account owner's subscription and is administered by the account owner. Access granted to a client representative or other client-side Authorized User is a permission granted by the account owner and confers no retention, portability, or continuity right in the workspace.
That access ends when the account owner removes the user, when the user leaves the workspace, or when the subscription providing the workspace ends or changes to a plan that does not include client workspaces. In each case the workspace and its contents remain in place under the account owner's control. RFPeasy has no obligation to preserve, export, or deliver a copy of any content to a user whose access has ended.
RFPeasy will release, export, or transfer the contents of a client workspace only to the account owner, or to a third party the account owner authorizes in writing. Requests from client-side Authorized Users for content in a workspace they no longer access will be directed to the account owner.
This Section governs RFPeasy's handling of client workspaces only. It does not determine ownership of Customer Content as between a consultancy and its client, which is governed by their own agreement as described in Section 4.6, and it does not modify Section 10.1.
5. Subscription Plans, Billing, and Auto-Renewal
5.1 Plans and Pricing
The Service is offered under multiple Subscription plans, including Beta (free, time-limited), Starter, Pro, Premium, Team, Consultancy, and Custom. Current pricing, features, and quotas are published at https://www.rfpeasy.app/pricing and are incorporated by reference. We reserve the right to change pricing and quotas upon notice, as described in Section 24.
5.2 Billing and Payment Processor
All payments are processed by Stripe, Inc. ("Stripe"). By providing payment information, you authorize us and Stripe to charge your payment method for all fees due under your Subscription. You agree to Stripe's applicable terms (https://stripe.com/legal). We do not store full payment card numbers; payment data is handled by Stripe in accordance with PCI-DSS standards.
5.3 Automatic Renewal
PAID SUBSCRIPTIONS RENEW AUTOMATICALLY ON A MONTHLY BASIS at the then-current rate for your plan tier, unless cancelled before the end of the then-current billing cycle. You authorize us to charge your payment method for each renewal term until you cancel.
5.4 Cancellation
You may cancel your Subscription at any time via the Stripe Customer Portal accessible from the Service. Cancellation takes effect at the end of the current billing cycle; you will retain access through that period and will not be charged for subsequent billing cycles.
5.5 No Refunds
EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, ALL FEES ARE NON-REFUNDABLE. This includes fees for partial months, unused features, unused quota allowances, terminated Accounts (including for breach), or downgrades. We do not offer pro-rata refunds for cancellation mid-cycle.
5.6 Failed Payments
If a payment fails, we may suspend or terminate your Subscription, restrict feature access, and pursue collection of unpaid amounts. You agree to reimburse us for reasonable costs incurred in collection, including attorneys' fees, to the extent permitted by law.
5.7 Taxes
Fees do not include taxes, levies, or duties imposed by any authority, including value-added, sales, use, withholding, or similar taxes (collectively, "Taxes"). You are responsible for paying all Taxes associated with your Subscription, excluding U.S. taxes based on our net income.
5.8 Founding Member Discount
The first twenty-five (25) Users who convert from a Beta plan to a paid plan may, at our sole discretion, receive a fifty-percent (50%) recurring discount on their selected plan tier (the "Founding Member Discount") for a period of twelve (12) months from the date the User's initial paid Subscription begins. The Founding Member Discount: (a) applies only while the User maintains an active, continuous paid Subscription during that twelve-month period, (b) automatically expires at the end of the twelve-month period, at which point the User's Subscription will renew at the then-current undiscounted rate for the applicable plan tier, (c) is forfeited automatically and irrevocably upon any plan change to the Team plan or any cancellation followed by re-subscription, and (d) is not transferable. We reserve the right to modify or discontinue the Founding Member program at any time as to new entrants.
5.9 Plan Changes and Upgrades
Upgrades take effect immediately and may be pro-rated. Downgrades take effect at the end of the current billing cycle. Plan changes from a per-User plan to the Team plan may result in forfeiture of plan-specific discounts (including the Founding Member Discount) and may require cancellation of an existing Subscription, as further described in the in-product upgrade flow.
5.10 Chargebacks and Payment Disputes
If you initiate a chargeback, dispute, or reversal with your payment-card issuer or bank for amounts properly owed under your Subscription, we may, in our reasonable discretion:
-
Immediately suspend or terminate your Account and all access to the Service;
-
Treat the disputed amount as a debt owed to us, and pursue collection by all lawful means, including reasonable costs of collection and attorneys' fees;
-
Seek indemnification for any chargeback fees imposed on us by Stripe or your payment-card network;
-
Decline to accept further payments from your payment method.
Initiating a chargeback for properly-owed amounts is a material breach of these Terms. You agree to contact us at dakota@govaccesssolutions.com to resolve billing disputes before initiating any chargeback. This Section 5.10 does not limit your rights under applicable consumer-protection law.
6. Beta Plan Provisions
6.1 Beta Term
The Beta plan provides time-limited access to the Service at no cost for a seven-day trial term running from the date of Account creation (or such other period as we may designate). At the end of the trial term, your access will be restricted unless you select and pay for a paid Subscription. The free trial is further described in Section 7.
6.2 Beta As-Is
THE BETA SERVICE IS PROVIDED "AS-IS," "AS-AVAILABLE," AND WITH ALL FAULTS. WE MAKE NO WARRANTIES OF ANY KIND WITH RESPECT TO THE BETA SERVICE, INCLUDING WARRANTIES OF FITNESS, ACCURACY, AVAILABILITY, OR FREEDOM FROM ERROR. BETA FEATURES MAY BE MODIFIED, RESTRICTED, OR DISCONTINUED WITHOUT NOTICE.
6.3 Beta Feedback
You agree that any feedback, suggestions, or recommendations regarding the Service that you provide may be used by us without restriction or obligation to you.
7. Free Trial
New accounts receive a 7-day free trial with limited usage. No payment method is required to start a trial, and nothing is charged when it ends. When the trial expires, access is suspended until you subscribe to a paid plan. Subscribing bills immediately for the first period. Usage during the trial counts toward that trial only.
8. Acceptable Use
Your use of the Service is governed by these Terms and by our Acceptable Use Policy (the "AUP"), which is incorporated herein by reference and available at https://www.rfpeasy.app/acceptable-use. Without limiting the AUP, you agree not to, and not to permit any Authorized User or third party to:
-
Use the Service for any unlawful purpose or in violation of any applicable law, regulation, or third-party right;
-
Reverse engineer, decompile, disassemble, or attempt to derive the source code, prompts, prompt structure, model configuration, system architecture, or trade secrets of the Service, except to the extent expressly permitted by applicable law notwithstanding this prohibition;
-
Probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure;
-
Use the Service or its outputs to train, fine-tune, develop, evaluate, or improve any artificial-intelligence model, machine-learning model, or competing service;
-
Use the Service to build, develop, market, or offer a product or service that competes with the Service;
-
Use any automated means (including bots, scrapers, or crawlers) to access the Service except for publicly documented APIs accessed under valid credentials and within published rate limits;
-
Resell, sublicense, rent, lease, or otherwise commercially exploit access to the Service except as expressly permitted by these Terms or a written reseller agreement;
-
Misrepresent your identity, affiliation, or authority, including impersonating any person or entity or falsely stating your status as a Federal Government employee, official, or contractor;
-
Submit Customer Content that infringes any intellectual-property, privacy, or other right of any third party;
-
Submit Customer Content that contains malware, viruses, time bombs, or any other harmful code;
-
Use the Service in a manner that interferes with, disrupts, or imposes an undue burden on the Service or other Users;
-
Circumvent or attempt to circumvent any quota, usage limit, plan restriction, or geographic restriction; or
-
Encourage or assist any third party in doing any of the foregoing.
9. Prohibited Content: Classified, CUI, and Export-Controlled Material
9.1 ABSOLUTE PROHIBITION
You shall not, and shall not permit any Authorized User to, upload, submit, transmit, or otherwise introduce to the Service any of the following:
-
Classified national-security information of any classification level (Confidential, Secret, Top Secret, or any compartmented or special-access designation);
-
Controlled Unclassified Information ("CUI"), including but not limited to information marked "CUI," "FOUO," "For Official Use Only," "Sensitive But Unclassified," "Law Enforcement Sensitive," "Limited Distribution," or any other marking prescribed under 32 C.F.R. Part 2002 or applicable agency guidance;
-
Information subject to the International Traffic in Arms Regulations (ITAR, 22 C.F.R. Parts 120-130);
-
Export-controlled technical data subject to the Export Administration Regulations (EAR, 15 C.F.R. Parts 730-774) at any level requiring a license for transfer to a non-U.S. person or to RFPeasy's Subprocessors;
-
Information subject to the Atomic Energy Act, including Restricted Data or Formerly Restricted Data;
-
Personally Identifiable Information ("PII") subject to the Privacy Act of 1974 in a manner that would require System of Records Notice coverage, including aggregations of PII whose disclosure would constitute a Privacy Act violation;
-
Protected Health Information ("PHI") subject to HIPAA;
-
Information subject to attorney-client privilege or other privilege that you do not have authority to disclose to a third-party SaaS provider; or
-
Any other information whose disclosure to a commercial SaaS provider would violate any federal, state, local, foreign, or contractual obligation.
9.2 No FedRAMP, No CMMC, No ATO
THE SERVICE IS A COMMERCIAL CLOUD-BASED OFFERING AND IS NOT FedRAMP-AUTHORIZED, NOT CMMC-CERTIFIED, AND DOES NOT HOLD AN AUTHORITY TO OPERATE ("ATO") FROM ANY FEDERAL AGENCY. The Service is not approved for the storage, processing, or transmission of CUI, classified information, or any other regulated information requiring an authorized cloud environment.
9.3 User Representation
Each time you submit Customer Content to the Service, you represent and warrant that the Customer Content does not contain any material described in Section 9.1, and that you have all rights necessary to submit such Customer Content to a commercial SaaS provider operating in the manner described in these Terms.
9.4 Detection and Removal
We have no obligation to monitor, screen, or detect prohibited content but reserve the right to remove any Customer Content we reasonably suspect violates this Section 9, suspend or terminate the offending Account, and report violations to applicable authorities. We are not liable for any loss arising from removal of Customer Content under this Section 9.
9.5 Indemnification for Prohibited Content
You agree to indemnify and hold harmless RFPeasy and its Subprocessors against any and all claims, demands, losses, damages, fines, penalties, and reasonable attorneys' fees arising from or relating to your breach of this Section 9, including any spillage, compromise, or unauthorized disclosure of classified, CUI, ITAR, EAR-controlled, Privacy Act, HIPAA, or other regulated information. You agree to notify us in writing within twenty-four (24) hours of becoming aware of any actual or suspected spillage or unauthorized disclosure of regulated information to the Service.
10. Customer Content; License Grant
10.1 Ownership
As between you and RFPeasy, you retain all right, title, and interest in and to your Customer Content, subject to the limited licenses granted to us in this Section 10.
10.2 License to Operate the Service
You hereby grant RFPeasy and its Subprocessors a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, modify, and create derivative works of your Customer Content solely as necessary to (a) provide, maintain, and improve the Service to you; (b) generate Generated Output in response to your inputs; (c) comply with legal process; and (d) enforce these Terms.
10.3 Aggregated and De-Identified Data
We may collect, use, and retain in perpetuity aggregated, de-identified, and statistical data derived from your use of the Service ("Service Data") for any lawful business purpose, including service improvement, capacity planning, security monitoring, analytics, and benchmarking, provided that such Service Data does not identify you or your Customer Content. Service Data is owned by RFPeasy.
10.4 No Training on Customer Content
We will not, and will require our Subprocessors not to, use your identifiable Customer Content or Generated Output to train, fine-tune, develop, or evaluate any artificial-intelligence or machine-learning model. This restriction does not limit our right to use Service Data as described in Section 10.3 or our right to debug, troubleshoot, audit, or secure the Service.
10.5 Your Representations Regarding Customer Content
You represent and warrant that (a) you own or have all necessary rights, licenses, consents, and permissions to submit your Customer Content to the Service and to grant the licenses in this Section 10; (b) submission of your Customer Content does not violate the rights of any third party (including intellectual-property, contractual, privacy, or publicity rights); and (c) your Customer Content does not violate Section 9 or any other provision of these Terms.
10.6 Removal
You may delete your Customer Content at any time using in-product controls. Backups, log files, or other operational data may retain residual copies for a commercially reasonable period (typically no more than 30 days) before being purged in the ordinary course of operations.
11. AI-Generated Output: Critical Disclaimers
11.1 NOT LEGAL, FINANCIAL, OR PROFESSIONAL ADVICE
Generated Output produced by the Service is software-generated draft material intended to assist with federal-contracting research and proposal development. Generated Output:
-
IS NOT legal advice, financial advice, tax advice, accounting advice, professional consulting, or compliance certification;
-
IS NOT a substitute for review by qualified counsel, compliance professionals, contracting officers, or other subject-matter experts;
-
MAY contain errors, omissions, inaccuracies, outdated information, or fabricated facts, citations, or data ("hallucinations"); and
-
MUST be independently verified, reviewed, and edited by qualified human personnel before submission to any Federal Government agency, contracting officer, or other recipient.
11.2 No Guarantee of Award or Compliance
No representation or warranty is made that any Generated Output (a) will result in a contract award, (b) is compliant with FAR, DFARS, applicable agency supplements, solicitation requirements, or any other regulation, (c) is accurate as to market data, pricing benchmarks, competitor analysis, agency spending patterns, or contracting officer information, or (d) reflects the most current FAR, regulation, or agency policy.
11.3 User Responsibility for Submissions
You are solely responsible for the accuracy, completeness, legality, and compliance of any document, proposal, response, or other material that you submit to any Federal Government agency or third party, whether or not such material is based in whole or in part on Generated Output. You acknowledge that submission of false, misleading, or fabricated information to the Federal Government may give rise to civil and criminal liability under the False Claims Act (31 U.S.C. §§ 3729-3733), 18 U.S.C. § 1001, and other applicable laws, and you accept full responsibility for verifying Generated Output before any such submission.
11.4 Third-Party Data Sources
The Service incorporates data from third-party sources, including SAM.gov, USASpending.gov, GSA CALC+, GovInfo, state and local (SLED) government procurement data sources, GovCon API (a licensed commercial data provider), and others. We do not guarantee the accuracy, completeness, currency, or availability of any third-party data, and we are not liable for errors or omissions in third-party data. Third-party data sources are subject to their own terms and may change or become unavailable without notice.
11.5 Same Output to Multiple Users
You acknowledge that the Service is a shared, multi-tenant platform and that, given the probabilistic nature of generative-AI models, similar inputs by different Users may produce similar Generated Output. We do not warrant the uniqueness of Generated Output across Users.
12. Intellectual Property
12.1 RFPeasy IP
The Service, including all software, source code, object code, models, prompts, prompt-engineering architecture, question banks (including the Layer 1 and Layer 2 question structure), user interface, designs, logos, trademarks, trade names, trade secrets, documentation, and all related intellectual property (collectively, the "RFPeasy IP"), is and shall remain the exclusive property of RFPeasy and its licensors. No license is granted to you in the RFPeasy IP except the limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms during the term of your active Subscription.
12.2 Trademarks
"RFPeasy" is a trademark of Gov Access Solutions, LLC, with a federal trademark application pending before the United States Patent and Trademark Office. "Gov Access Solutions" and any associated logos, marks, and trade dress are trademarks of Gov Access Solutions, LLC. You may not use, register, or contest such marks without our prior written consent.
12.3 Feedback
Any feedback, suggestions, improvements, ideas, or other input you provide regarding the Service ("Feedback") is provided without expectation of compensation. You hereby assign to RFPeasy all right, title, and interest in such Feedback, including all intellectual-property rights.
12.4 Reservation of Rights
All rights not expressly granted to you in these Terms are reserved by RFPeasy and its licensors.
13. Subprocessors and Third-Party Services
We rely on third-party Subprocessors to provide the Service. Current Subprocessors include, without limitation:
-
Anthropic, PBC: generative-AI model provider (Claude API);
-
Supabase, Inc.: database, authentication, and object storage;
-
Vercel, Inc.: application hosting and content delivery;
-
Stripe, Inc.: payment processing;
-
Resend, Inc.: transactional email delivery;
-
Sentry (Functional Software, Inc.): error monitoring;
-
PostHog Inc.: product analytics;
-
U.S. federal, state, and local government data sources accessed by the Service (including SAM.gov, USASpending.gov, GSA CALC+, GovInfo, and state and local government procurement portals);
-
GovCon API: a licensed commercial provider of government-contracting data, which the Service queries by search parameters only (we do not transmit your Customer Content to it).
By using the Service, you authorize us to share Customer Content with these Subprocessors solely to the extent necessary to provide the Service. We will exercise reasonable care in selecting Subprocessors. We may add or change Subprocessors at any time and will use commercially reasonable efforts to publish an updated list at https://www.rfpeasy.app/subprocessors. Your continued use of the Service after such an update constitutes acceptance of the changes. Customers on the Team and Custom plans may be entitled to additional notice rights as provided in a Data Processing Addendum.
14. Third-Party Integrations and Connected Accounts
The Service offers optional integrations that let you connect third-party accounts and route data to destinations you designate. These integrations are entirely user-initiated and optional.
14.1 Connected Accounts and Destinations
You may choose to connect or configure third-party services, which may include (without limitation) Google (Drive and Calendar), Slack, Microsoft Teams, HubSpot, Salesforce, GoHighLevel, and Apollo, as well as user-configured outbound webhooks and automation endpoints (for example, a Zapier or webhook URL you provide). Availability of any particular integration may change over time.
14.2 Your Authorization
By connecting a third-party account or configuring a destination, you authorize the Service to access that account and to transmit, export, or synchronize the specific data you configure, to and from that service, on your behalf. We act on your instructions; you are responsible for the connections you establish and the data flows you enable.
14.3 Your Representations
You represent and warrant, on a continuing basis, that: (a) you have all rights, licenses, and authority necessary to connect each third-party account and to authorize the data transfers you configure; (b) you are authorized to act on behalf of the owner of each connected account, including where the account belongs to your Organization or to a client; and (c) your use of the connected services, and of any data you export, transmit, or receive through them, complies with all applicable laws and with the terms of the connected service. Without limiting the foregoing, if you push outreach, marketing, or contact data to a CRM, marketing, or messaging service, you are solely responsible for compliance with all laws governing that activity, including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and applicable state anti-spam, consent, and data-protection laws.
14.4 Third-Party Services Are Not Our Responsibility
Third-party services are operated by the respective third parties and are governed by their own terms and privacy policies, not by these Terms. We do not control, endorse, or warrant any third-party service, and we are not responsible for its availability, accuracy, security, or acts or omissions. A third-party service may change, deprecate, rate-limit, suspend, or discontinue its API or functionality at any time, which may cause an integration to change or stop working, and we are not liable for any such change or interruption. Once data is delivered to a destination you designate, it is outside the Service and is subject to the receiving service's terms and to your control, not ours.
14.5 Disconnection
You may disconnect any integration at any time from within the Service. Disconnecting stops future data flows through that integration but does not retrieve or delete data already delivered to a third-party destination.
14.6 Security of Credentials
Where an integration uses OAuth or similar delegated authorization, the access and refresh tokens we hold on your behalf are stored encrypted. You remain responsible for the security of the connected accounts themselves.
14.7 Google User Data
Data accessed through the Google Drive and Google Calendar integrations is handled as described in Section 15 ("Google User Data") of our Privacy Policy, including the Limited Use commitments, which are incorporated here by reference. In particular, our Google Drive access is limited to files the Service itself creates in your Drive.
15. Privacy
Our collection, use, and disclosure of personal information are described in our Privacy Policy at https://www.rfpeasy.app/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to our handling of personal information as described in the Privacy Policy. For customers on the Team or Custom plan, a Data Processing Addendum is available at https://www.rfpeasy.app/dpa and applies to the extent the Service processes personal data on your behalf.
16. Confidentiality
16.1 Mutual Obligation
Each party (the "Receiving Party") agrees to protect the other party's Confidential Information using the same degree of care it uses to protect its own confidential information of like importance, and in any event no less than reasonable care. The Receiving Party may use the Confidential Information solely to perform under these Terms and may disclose it only to its employees, contractors, and Subprocessors who have a need to know and who are bound by confidentiality obligations no less protective than those in these Terms.
16.2 Exclusions
"Confidential Information" does not include information that is (a) publicly available without breach of these Terms, (b) rightfully known to the Receiving Party without restriction prior to disclosure, (c) independently developed without use of or reference to the disclosing party's Confidential Information, or (d) rightfully obtained from a third party without restriction.
16.3 Required Disclosure
The Receiving Party may disclose Confidential Information to the extent required by law, court order, or governmental authority, provided that it gives prompt notice to the disclosing party where legally permitted and cooperates with reasonable efforts to limit the scope of disclosure.
17. Federal Compliance: Important Limitations
The Service is a commercial, off-the-shelf SaaS product. The Service:
-
Has not undergone FedRAMP authorization;
-
Has not been assessed for CMMC certification at any level;
-
Has not been granted an Authority to Operate (ATO) by any Federal agency;

Is not authorized to process, store, or transmit Classified Information, CUI, ITAR-controlled data, or EAR-controlled data requiring a license for transfer;
-
Does not provide environments that meet DFARS 252.204-7012 / NIST SP 800-171 security controls for handling Covered Defense Information; and

You are responsible for ensuring that your use of the Service is consistent with your obligations to the Federal Government, including under any contract, grant, cooperative agreement, or other instrument to which you are subject. RFPeasy makes no representation that use of the Service is permitted under any specific Federal contract you may hold.
18. User Representations and Warranties
You represent and warrant on a continuing basis that:
-
You have full power and authority to enter into and perform these Terms;
-
Your use of the Service complies with all applicable laws and regulations, including U.S. export-control, sanctions, anti-corruption, anti-money-laundering, and procurement-integrity laws;
-
You will not use the Service to violate any federal procurement-integrity law, including the Procurement Integrity Act (41 U.S.C. § 2102 et seq.), or to misuse non-public source-selection or proprietary information;
-
You hold all rights necessary in your Customer Content to grant the licenses in these Terms;
-
You are not currently debarred, suspended, proposed for debarment, or otherwise excluded from federal contracting (per the System for Award Management Exclusions list); and
-
All information you provide to us is true, accurate, current, and complete.
19. Indemnification
19.1 Indemnification by You
You agree to defend, indemnify, and hold harmless RFPeasy, Gov Access Solutions, LLC, and their respective officers, directors, employees, contractors, agents, and Subprocessors (the "Indemnified Parties") from and against any and all third-party claims, demands, actions, losses, damages, judgments, settlements, fines, penalties, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
-
Your Customer Content;
-
Your or any Authorized User's use or misuse of the Service;
-
Your or any Authorized User's violation of these Terms, including Sections 8 (Acceptable Use), 9 (Prohibited Content), 10.5 (Customer Content Representations), and 17 (User Representations);
-
Your or any Authorized User's violation of any applicable law, regulation, or third-party right; or
-
Any submission you make to the Federal Government or any other third party that incorporates, in whole or in part, Generated Output.
19.2 Process
The Indemnified Parties will (a) give you prompt written notice of the claim, (b) tender sole control of the defense and settlement to you (provided you may not settle a claim without our consent if the settlement requires an admission of liability by an Indemnified Party or imposes restrictions on the Service), and (c) provide reasonable cooperation at your expense.
20. Disclaimer of Warranties
THE SERVICE, INCLUDING ALL GENERATED OUTPUT AND THIRD-PARTY DATA, IS PROVIDED "AS-IS" AND "AS-AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RFPEASY AND ITS SUBPROCESSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, UNINTERRUPTED OR ERROR-FREE OPERATION, FREEDOM FROM HARMFUL CODE, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT GENERATED OUTPUT WILL BE ACCURATE OR RELIABLE, THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, OR THAT DEFECTS WILL BE CORRECTED.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, our disclaimers apply to the maximum extent permitted.
21. Limitation of Liability
21.1 Exclusion of Indirect Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RFPEASY OR ITS SUBPROCESSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITY, LOST CONTRACT AWARD, LOST GOODWILL, OR LOST DATA; OR ANY COST OF PROCURING SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
21.2 Aggregate Cap
OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO US UNDER YOUR SUBSCRIPTION DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
21.3 Essential Purpose
The parties agree that the limitations in this Section 21 are an essential basis of the bargain between them, and would apply even if any limited remedy provided in these Terms fails of its essential purpose.
21.4 Jurisdictional Limits
Some jurisdictions do not allow the exclusion or limitation of certain damages. The limitations in this Section 21 apply to the maximum extent permitted by applicable law.
22. Term, Suspension, and Termination
22.1 Term
These Terms remain in effect for so long as you have an active Account, and the relevant provisions (including Sections 9.5, 10, 12, 15, 18, 19, 20, 25, 26, 27, 32, 33, and 34) survive termination.
22.2 Termination by You
You may terminate your Subscription as described in Section 5.4. You may close your Account at any time by contacting us at the address in Section 36.
22.3 Termination or Suspension by Us
We may suspend or terminate your access to all or part of the Service, with or without notice, immediately if we believe in our reasonable discretion that:
-
You have breached these Terms, including the prohibitions in Sections 8 or 9;
-
Continued provision of the Service to you creates legal, regulatory, security, or reputational risk to us;
-
Payment for the Service is overdue;
-
A Subprocessor has terminated or restricted services on which the Service depends; or
-
We are required to do so by law, regulation, or court order.
We are not liable for any loss or damage resulting from suspension or termination consistent with this Section 22.3.
22.4 Effect of Termination
Upon termination, (a) your access to the Service will cease, (b) you will remain liable for all accrued obligations, including unpaid fees, and (c) you may, for a period of thirty (30) days following termination (unless we terminate for cause under Section 22.3(a)), request export of your Customer Content using in-product tools or by request to support. After thirty (30) days, we may delete your Customer Content from our systems, subject to retention in backups and operational logs as described in Section 10.6. Export of content held in a client workspace is governed by Section 4.8.
23. Modifications to the Service
We may modify, suspend, or discontinue the Service or any feature, at any time, with or without notice. We will use commercially reasonable efforts to provide notice of material adverse changes affecting paid Subscriptions. We are not liable for any modification, suspension, or discontinuation of the Service.
24. Changes to These Terms
We may modify these Terms from time to time. If we make a material change, we will provide notice by email to the address on file for your Account, by an in-product notice, or by updating the "Last Updated" date at the top of these Terms and posting the revised Terms at https://www.rfpeasy.app/terms. Material changes take effect no earlier than thirty (30) days after the date of notice. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service and may cancel your Subscription as described in Section 5.4.
25. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-laws principles. Subject to Section 26 (Mandatory Arbitration), the exclusive venue for any court action permitted under these Terms shall be the state and federal courts located in Denver County, Colorado, and each party irrevocably consents to the personal jurisdiction of such courts.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
26. Mandatory Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH US ON AN INDIVIDUAL BASIS, NOT IN COURT, AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.
26.1 Agreement to Arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between you and us (a "Dispute"), whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
26.2 Procedure
The arbitration shall be conducted by a single arbitrator in Denver, Colorado, or (at your election) via remote/videoconference. The arbitrator shall apply the law of the State of Colorado, exclusive of conflict-of-laws principles. The Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) governs the interpretation and enforcement of this Section.
26.3 Fees and Costs
Each party shall bear its own attorneys' fees and costs. AAA administrative fees and arbitrator fees shall be allocated as provided by the AAA Commercial Arbitration Rules. The arbitrator may award attorneys' fees and costs to the prevailing party to the extent permitted by applicable law.
26.4 Exceptions
Either party may bring an individual action in small-claims court if the matter is within the jurisdictional limits of that court. Either party may also seek temporary or preliminary injunctive or equitable relief in court to protect its intellectual property or Confidential Information pending arbitration.
26.5 Opt-Out
You may opt out of this arbitration agreement by sending written notice to the address in Section 36 within thirty (30) days of first agreeing to these Terms, stating your name, the email associated with your Account, and a clear statement that you wish to opt out of arbitration. If you opt out, this Section 26 will not apply to you (but Sections 25, 27, and 28 still will).
27. Class Action Waiver; Jury Trial Waiver
YOU AND WE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL ACTION. UNLESS BOTH PARTIES AGREE OTHERWISE IN WRITING, NO ARBITRATOR OR JUDGE MAY CONSOLIDATE MORE THAN ONE PERSON**'S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'**S INDIVIDUAL CLAIM.
TO THE EXTENT ANY CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND WE EACH IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY.
28. Time Limit on Claims
Any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after the cause of action accrues, or it is permanently barred. This shorter limitation period does not apply where prohibited by applicable law.
29. Force Majeure
We are not liable for any failure or delay in performance to the extent caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, embargo, pandemic, internet or telecommunications failures, cyberattacks, or failures of Subprocessors.
30. Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of substantially all assets, or by operation of law, without notice or consent. Any purported assignment in violation of this Section is void.

Notices to you may be given by email to the address on file for your Account or by in-product notification. Notices to us must be sent in writing to:

32. Federal Government End Users
If any Authorized User is an agency, instrumentality, or employee of the U.S. Federal Government acting in an official capacity, that User's use of the Service is subject to the applicable provisions of FAR Part 12 (Acquisition of Commercial Products and Commercial Services) and DFARS 227.7202 regarding the rights of the Federal Government in commercial computer software and commercial computer software documentation. The Service is provided as a Commercial Item, and all rights are reserved by us as permitted by FAR 52.227-19 and DFARS 252.227-7015 (or successor provisions). Use, duplication, or disclosure by the Federal Government is subject only to the rights granted to commercial customers under these Terms.
33. DMCA / Copyright Complaints
33.1 Notices of Claimed Infringement
If you believe that any Customer Content or other material available through the Service infringes your copyright, you may submit a notice of claimed infringement pursuant to the Digital Millennium Copyright Act (17 U.S.C. § 512). DMCA notices must include:

-
Identification of the material claimed to be infringing, with sufficient detail to enable us to locate it;
-
Your contact information (name, mailing address, telephone number, and email);
-
A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or law;
-
A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
Notices that do not include all required elements may not be processed.
33.2 Designated DMCA Agent
DMCA notices must be sent to our designated agent registered with the U.S. Copyright Office:
Gov Access Solutions, LLC
Attn: DMCA Agent
8225 Fairmount Dr APT 5-108

33.3 Counter-Notice
If you believe that material you submitted was removed or disabled in error, you may submit a counter-notice pursuant to 17 U.S.C. § 512(g) to the same Designated Agent. Counter-notices must include the elements required by Section 512(g)(3).
33.4 Repeat Infringers
In appropriate circumstances and at our discretion, we will terminate the Accounts of Users determined to be repeat infringers of copyright.
33.5 Misrepresentations
Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing, or that material was removed or disabled by mistake or misidentification, may be liable for damages.
34. Security Disclosure and Researcher Safe Harbor
34.1 Reporting Vulnerabilities
We welcome reports of security vulnerabilities affecting the Service. To report a vulnerability, please email dakota@govaccesssolutions.com with subject line "Security: [Brief Description]" and include:
-
A description of the vulnerability;
-
Steps to reproduce;
-
The affected URL, endpoint, feature, or component;
-
Your contact information for follow-up.
We will acknowledge receipt within five (5) business days where reasonably possible.
34.2 Safe Harbor
We will not pursue civil legal action under these Terms or the Computer Fraud and Abuse Act (18 U.S.C. § 1030) against any individual who:
-
Makes a good-faith effort to comply with this Section 34 and the Acceptable Use Policy;
-
Reports vulnerabilities to us promptly upon discovery and before any public disclosure;
-
Provides us a reasonable opportunity to remediate (no less than ninety (90) days) before disclosing the vulnerability publicly, unless otherwise agreed in writing;
-
Does not access, modify, exfiltrate, retain, or disclose any Customer Content, personal information, or other data beyond the minimum necessary to demonstrate the vulnerability;
-
Does not engage in social engineering, physical access attempts, denial-of-service attacks, extortion, or testing against third-party Subprocessors;
-
Does not violate the privacy of other Users; and
-
Complies with all applicable laws.
34.3 Scope and Limitations
This safe harbor applies only to civil claims by us under these Terms. It does not bind any third party (including our Subprocessors), does not waive criminal-law enforcement by any government authority, and does not authorize testing of third-party services or infrastructure. We are the sole judge, acting in good faith, of whether a researcher's conduct qualifies for safe harbor.
34.4 No Bounty
We do not currently offer monetary compensation for vulnerability reports. We will acknowledge contributions in good faith where requested by the researcher.
35. Miscellaneous
35.1 Entire Agreement
These Terms, together with the Privacy Policy, the Acceptable Use Policy, and (where applicable) the Data Processing Addendum and any order forms or written addenda executed by both parties, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
35.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable. If the class-action waiver in Section 27 is held unenforceable as to any claim, that claim will be severed and adjudicated in court, while the remainder of Section 26 (Arbitration) will remain in effect.
35.3 No Waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
35.4 No Third-Party Beneficiaries
Except as expressly provided (including in Section 19 for Indemnified Parties), these Terms do not create any third-party beneficiary rights.
35.5 Independent Contractors
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship.
35.6 Headings
Headings are for convenience only and do not affect interpretation.
35.7 Construction
The word "including" means "including without limitation." Ambiguities are not to be construed against the drafter.
35.8 Electronic Signatures
You agree that clicking "I agree" (or similar) and your continued use of the Service constitute your electronic signature and assent to these Terms under the U.S. E-SIGN Act and applicable state law.
